TERMS AND CONDITIONS
These Terms and Conditions ("Terms") govern the access to and use of the website, mobile applications and other platforms operated by KARDIFY Customs Private Limited, a company incorporated under the laws of India and having its registered office in Bangalore, Karnataka, India ("KARDIFY", "Company", "we", "us" or "our").
By accessing, browsing, registering on, or placing an order through our platforms ("Platforms"), you ("User", "Customer", "you" or "your") agree to be bound by these Terms and Conditions, our Privacy Policy, Shipping Policy, Return, Exchange, Replacement, Refund and Cancellation Policy and all other policies published on our Platforms.
If you do not agree with these Terms, you should discontinue use of the Platforms immediately.
1. DEFINITIONS
Unless the context otherwise requires:
1.1 "Customer" or "User"means any person accessing, browsing, registering on, or purchasing products through the Platforms.
1.2 "Platform(s)"means the website, mobile applications, social media pages, marketplaces, communication channels and other digital platforms operated or managed by KARDIFY.
1.3 "Product(s)"means automotive accessories, alloy wheels, car audio systems, infotainment systems, lighting products, performance products, customized products and any other goods offered for sale by KARDIFY.
1.4 "Order"means a request placed by a Customer to purchase one or more Products through the Platforms.
1.5 "Services"means all services made available by KARDIFY including product sales, order processing, customer support and other related services.
1.6 "Content"includes text, graphics, photographs, logos, videos, images, software, product descriptions, trademarks and all other materials available on the Platforms.
1.7 "Business Days"means days excluding Sundays and public holidays.
2. ACCEPTANCE OF TERMS
By accessing or using the Platforms, you acknowledge that you have read, understood and agreed to be bound by these Terms and conditions all policies incorporated herein by reference.
These Terms and conditions constitute a legally binding agreement between you and KARDIFY.
If you do not agree with these Terms and conditions, you should refrain from accessing or using all /any of our Platforms.
3. ELIGIBILITY
3.1 You represent and warrant that:
- You are competent to contract under applicable Indian laws;
- You are at least eighteen (18) years of age or are using the Platforms under the supervision of a parent or legal guardian;
- You possess the legal authority to enter into binding contracts;
- The information provided by you is accurate and complete.
3.2 KARDIFY reserves the right to refuse access to, suspend, or terminate accounts or orders where it reasonably believes that the information furnished by a user is inaccurate, misleading, fraudulent or incomplete.
4. USER ACCOUNTS
4.1 Registration
Certain features of the Platforms may require registration and creation of an account.
You agree to provide true, accurate and complete information while registering and to keep such information updated.
4.2 Confidentiality
You are solely responsible for maintaining the confidentiality of your account credentials and password.
You shall be responsible for all activities carried out through your account.
4.3 Unauthorized Access
You agree to immediately notify KARDIFY of any unauthorized use of your account or any other breach of security.
KARDIFY shall not be liable for any loss arising from unauthorized use of your account due to your failure to maintain the confidentiality of your login credentials.
4.4 Account Suspension
KARDIFY reserves the right to suspend or terminate any account without prior notice in case of:
- Fraudulent or suspicious activity;
- Violation of these Terms and conditions;
- Abuse of return or refund policies;
- Misuse of promotional offers;
- Any activity prejudicial to KARDIFY or other users.
5. PRODUCT INFORMATION
KARDIFY endeavours to provide accurate information regarding Products, specifications, compatibility, prices, images and descriptions.
Subject However to the following:
- Product photographs are illustrative in nature and actual products may differ in appearance, colour, packaging or finish.
- Vehicle compatibility may vary depending upon the make, model, year, variant and modifications made to the vehicle.
- Customers are responsible for verifying compatibility before placing an order.
- Product specifications, packaging and manufacturer details are subject to change without notice.
KARDIFY does not warrant that all information displayed on the Platforms is complete, error-free or current.
6. PRICING
6.1 Prices displayed on the Platforms are in Indian Rupees (INR) unless otherwise specified.
6.2 Prices are subject to change without prior notice.
6.3 Applicable taxes, including GST- IGST and SGST, shall be charged in accordance with prevailing laws.
6.4 Pricing Errors
Despite reasonable efforts, inadvertent errors in pricing, descriptions or specifications may occur. KARDIFY reserves the right to cancel or refuse any order arising from pricing errors, typographical mistakes or incorrect product information, whether or not payment has already been received. In such cases, any amount received shall be refunded to the original payment method.
7. PAYMENTS
7.1 Customers may make payments through payment gateways, UPI, credit cards, debit cards, net banking, wallets, EMI facilities, Cash on Delivery and other payment methods made available on the Platforms.
7.2 Payment information is processed through authorized third-party payment service providers.KARDIFY does not store complete credit card or debit card information on its servers.
7.3 You represent and warrant that the payment instrument used by you belongs to you or that you are duly authorized to use such payment instrument.
7.4 Fraudulent Transactions
KARDIFY reserves the right to refuse, cancel or hold orders where fraudulent activity, unauthorized payment usage or suspicious transactions are suspected.
KARDIFY may seek additional verification and documentation before processing such orders.
8. ORDER ACCEPTANCE
Placement of an order by the Customer constitutes an offer to purchase and shall not be construed as acceptance by KARDIFY.
An order shall be deemed accepted only upon dispatch of the Product or communication of confirmation by KARDIFY.
KARDIFY reserves the right to reject or cancel orders due to:
- Product unavailability;
- Pricing errors;
- Quantity restrictions;
- Suspected fraudulent activity;
- Incomplete or incorrect information;
- Regulatory restrictions;
- Force majeure events;
- Any other reason deemed appropriate by KARDIFY.
Where payment has already been received, refunds shall be processed in accordance with the Return, Exchange, Replacement, Refund and Cancellation Policy.
9. SPECIAL ORDERS, IMPORTED PRODUCTS AND CUSTOMIZED PRODUCTS
Certain products offered by KARDIFY may be imported, specially procured, customized or manufactured specifically based on customer requirements.
Such products may involve longer lead times and may not be eligible for cancellation, return, refund or exchange once procurement, manufacturing or customization has commenced, except where such products are received in damaged, defective or incorrect condition.
Customers are advised to carefully verify specifications before placing orders for such products.
10. SHIPPING AND DELIVERY
10.1 Shipping Policy
Shipping, dispatch and delivery of Products purchased through the Platforms shall be governed by KARDIFY's Shipping Policy, as amended from time to time, which forms an integral part of these Terms and conditions.
10.2 Order Processing
Orders are generally processed within 1-3 Business Days, subject to product availability, verification and acceptance by KARDIFY.
Customized, specially procured or imported products may require additional processing time.
10.3 Delivery Timelines
Delivery timelines displayed on the Platforms are indicative estimates only and shall not be construed as guaranteed delivery commitments.
Actual delivery timelines may vary depending upon product availability, courier operations, weather conditions, regulatory restrictions, public holidays, force majeure events and other circumstances beyond KARDIFY's reasonable control.
10.4 Shipment Tracking
Customers may receive shipment and tracking details through email, SMS, WhatsApp or other communication channels, wherever applicable.
10.5 Multiple Addresses
Each Order shall be deliverable only to a single address.
Customers wishing to deliver products to multiple addresses shall place separate orders.
10.6 Customer Responsibility
Customers are responsible for providing complete and accurate delivery details.
KARDIFY shall not be liable for delays, failed deliveries or additional charges arising from inaccurate, incomplete or incorrect information provided by Customers.
10.7 Risk and Title
Ownership and risk in the Products shall pass to the Customer upon successful delivery to the address specified in the Order.
Customers are advised to inspect packages immediately upon receipt and promptly report any damage, tampering or discrepancies.
11. RETURNS, EXCHANGES, REPLACEMENTS AND REFUNDS
11.1 Governing Policy
Returns, exchanges, replacements and refunds shall be governed by KARDIFY's Return, Exchange, Replacement, Refund and Cancellation Policy, which forms an integral part of these Terms.
11.2 Limited Return Eligibility
Most Products sold on the Platforms are non-returnable except under circumstances expressly specified in the Return, Exchange, Replacement, Refund and Cancellation Policy.
11.3 Quality Verification
All returned Products shall be subject to inspection and approval by KARDIFY's Quality Check Team before processing any refund, replacement or exchange.
11.4 Original Condition Requirement
Returned Products must be unused and accompanied by original packaging, manuals, accessories and labels.
Products showing signs of use, installation, attempted installation, alteration, misuse or physical damage inconsistent with the reported issue may not qualify for return, exchange, replacement or refund.
11.5 Refund Timelines
Approved refunds shall ordinarily be processed 24 - 48 hours after approval by KARDIFY and may take approximately 5-7 Business Days to reflect in the Customer's account, subject to banking and payment gateway timelines.
11.6 Shipping Charges
Shipping charges, handling charges and convenience fees, if any, may not be refundable unless the refund arises due to an error attributable to KARDIFY.
12. ORDER CANCELLATION BY CUSTOMER
12.1 Customers may request cancellation before an Order is packed, processed, customized or dispatched.
12.2 Cancellation requests received after processing, procurement, customization or dispatch may not be accepted.
12.3 Products that are imported, specially procured, made-to-order or customized for a Customer may not be eligible for cancellation once procurement, manufacturing or customization has commenced.
12.4 Approved cancellations shall be refunded to the original mode of payment in accordance with the Return, Exchange, Replacement, Refund and Cancellation Policy.
13. CANCELLATION OR REFUSAL OF ORDERS BY KARDIFY
KARDIFY reserves the right, at its sole discretion, to refuse, suspend or cancel any Order due to reasons including but not limited to:
- Product unavailability;
- Pricing or typographical errors;
- Quantity restrictions;
- Suspected fraudulent transactions;
- Incomplete, incorrect or unverifiable information provided by the Customer;
- Failure to provide additional information required for customization or verification;
- Regulatory or legal restrictions;
- Events beyond KARDIFY's reasonable control, including force majeure circumstances;
- Any circumstance which, in KARDIFY's reasonable opinion, necessitates cancellation.
Where payment has already been received, KARDIFY shall initiate a refund in accordance with the Return, Exchange, Replacement, Refund and Cancellation Policy.
14. NON-RETURNABLE PRODUCTS
Without prejudice to the Return, Exchange, Replacement, Refund and Cancellation Policy, the following categories of Products are generally non-returnable and non-refundable except where received in damaged, defective or incorrect condition:
- Car fresheners and consumables;
- Car audio systems and electronic products;
- Customized car seat covers;
- Made-to-order alloy wheels;
- Customized interior sets;
- Imported or specially procured products;
- Products specially procured at the request of Customers;
- Products that have been installed or where installation has been attempted;
- Products showing signs of use, misuse, alteration or physical damage;
- Products without original packaging, manuals, labels or accessories;
- Products damaged due to improper handling by Customers.
15. FORCE MAJEURE
KARDIFY shall not be liable for any delay, interruption or failure in performance of any obligation arising under these Terms due to causes beyond its reasonable control, including but not limited to:
- Natural disasters;
- Floods, earthquakes or fire;
- Epidemics or pandemics;
- Government actions or regulatory restrictions;
- Transportation disruptions;
- Strikes or labour disturbances;
- War, terrorism or civil unrest;
- Power failures or communication failures;
- Delay or default by third-party logistics providers or suppliers;
- Any other force majeure event.
16. PRODUCT COMPATIBILITY AND FITMENT
16.1 KARDIFY endeavours to provide accurate information regarding vehicle compatibility, specifications, dimensions and fitment of Products. However, compatibility may vary depending upon factors including but not limited to:
- Vehicle make, model, variant and year of manufacture;
- Manufacturer updates and revisions;
- Modifications carried out to the vehicle;
- Existing accessories or aftermarket parts installed on the vehicle;
- Regional specifications and trim levels.
16.2 Customers are solely responsible for verifying compatibility and suitability of Products with their vehicles before placing an Order.
Customers are encouraged to consult KARDIFY Customer Support or qualified automotive professionals wherever necessary.
16.3 KARDIFY shall not be liable for incompatibility, improper fitment, rubbing, clearance issues or performance issues arising due to:
- Incorrect information supplied by the Customer;
- Vehicle modifications;
- Third-party alterations;
- Manufacturing changes by vehicle manufacturers;
- Improper installation by third parties;
- Use of Products in a manner inconsistent with manufacturer recommendations.
16.4 Product images, videos, illustrations and vehicle photographs displayed on the Platforms are for illustrative purposes only and actual appearance, finish, colour, dimensions and packaging may differ.
17. INSTALLATION DISCLAIMER
17.1 Certain Products sold by KARDIFY require professional installation. Customers are advised to have Products installed only by qualified automotive technicians, workshops or authorized service providers.
17.2 KARDIFY may recommend or suggest installers, workshops or service providers solely for customer convenience. Such installers and service providers are independent third parties and are not employees, agents, representatives or affiliates of KARDIFY.
17.3 KARDIFY does not supervise or control installation work performed by third parties and shall not be liable for:
- Improper installation;
- Workmanship defects;
- Damage caused during installation or attempted installation;
- Electrical faults or short circuits;
- Paint damage;
- Mechanical or structural damage;
- Wheel balancing or alignment issues;
- Labour charges or installation costs;
- Delays caused by third-party installers.
17.4 Any dispute regarding workmanship or installation services shall be resolved directly between the Customer and the concerned third-party installer or workshop.
18. PRODUCT WARRANTIES
18.1 Certain Products sold on the Platforms may be covered by warranties provided by the respective manufacturers or brands. Such warranties, where applicable, shall be governed exclusively by the terms, conditions and limitations prescribed by the respective manufacturer.
18.2 KARDIFY does not independently provide any additional warranty unless expressly stated in writing.
18.3 Warranty claims, where available, may require submission of:
- Original invoice;
- Photographs or videos;
- Serial numbers or batch numbers;
- Inspection reports;
- Other information required by the manufacturer.
18.4 Warranty coverage shall not extend to damage arising from:
- Improper installation;
- Normal wear and tear;
- Abuse, misuse or negligence;
- Accidents or external damage;
- Water ingress or corrosion;
- Unauthorized repairs or modifications;
- Use contrary to manufacturer instructions;
- Racing, commercial or off-road applications unless specifically intended.
18.5 KARDIFY shall provide reasonable assistance in facilitating warranty claims but shall not be responsible for acceptance or rejection of such claims by manufacturers.
19. PERFORMANCE PRODUCTS DISCLAIMER
19.1 Performance upgrades and aftermarket accessories may alter the original characteristics, ride quality, performance or appearance of the vehicle. Customers acknowledge and accept all risks associated with the installation and use of such Products.
19.2 KARDIFY does not guarantee:
- Increase in performance;
- Fuel economy improvements;
- Noise reduction;
- Ride comfort;
- Compatibility with all vehicle configurations;
- Compliance with local laws applicable to vehicle modifications.
19.3 Customers are responsible for ensuring that any modification or installation complies with applicable laws, regulations and manufacturer recommendations.
20. COLOUR, FINISH AND PRODUCT VARIATION DISCLAIMER
20.1 Actual colours, finishes, textures and appearances of Products may vary from images displayed on the Platforms due to:
- Lighting conditions;
- Screen resolution;
- Photography and editing techniques;
- Manufacturing variations.
20.2 Minor variations in finish, texture, dimensions, packaging or branding shall not constitute defects and shall not be grounds for return or refund.
21. PRODUCT AVAILABILITY AND SPECIFICATION CHANGES
21.1vManufacturers may revise specifications, packaging, accessories or design without prior notice.
21.2 KARDIFY reserves the right to discontinue Products or substitute packaging and accessories supplied by manufacturers without affecting the essential characteristics of the Product.
22. CONTENT, ARTICLES, VIDEOS AND CAR CARE INFORMATION
22.1 Articles, blogs, videos, reels, guides, tutorials, illustrations and other informational material published on the Platforms are provided solely for informational and educational purposes.
22.2 Such content shall not constitute professional automotive advice and should not be relied upon as a substitute for inspection or advice from qualified mechanics, workshops or authorized service centres.
22.3 Customers undertake any installation, repair or modification activities at their own risk. KARDIFY shall not be liable for any injury, damage, loss or consequences arising from reliance upon or use of such content.
23. THIRD-PARTY BRANDS
23.1 All trademarks, logos, names and references to vehicle manufacturers and brands including but not limited to Maruti Suzuki, Hyundai, Tata Motors, Mahindra, Toyota, Honda, Kia, BMW, Mercedes-Benz, Audi, Volkswagen and others belong to their respective owners.
23.2 Unless expressly stated, references to such brands are made solely for identification and compatibility purposes and do not imply sponsorship, endorsement, partnership or affiliation with KARDIFY.
23.3 Nothing contained on the Platforms shall be construed as creating any association, representation or authorization by such manufacturers unless expressly stated otherwise.
24. LICENSE TO USE THE PLATFORMS
24.1 Subject to compliance with these Terms, KARDIFY grants Customers a limited, non-exclusive, non-transferable, revocable and non-sublicensable licence to access and use the Platforms solely for personal and lawful purposes.
24.2 Nothing contained in these Terms shall transfer ownership of any intellectual property rights to Customers. Except as expressly permitted under applicable laws, Customers shall not:
- Copy, reproduce, modify or distribute Platform content;
- Reverse engineer or decompile any software;
- Use automated bots, crawlers or scraping tools;
- Commercially exploit any content without prior written consent;
- Remove copyright notices or proprietary marks.
All rights not expressly granted herein are reserved by KARDIFY.
25. INTELLECTUAL PROPERTY RIGHTS
25.1 All trademarks, logos, trade names, designs, graphics, text, software, images, videos and content available on the Platforms are owned by KARDIFY or their respective owners and are protected under applicable intellectual property laws.
25.2 Nothing contained on the Platforms shall be construed as granting any licence or right to use any trademark, logo or copyrighted material without prior written permission from the rightful owner.
25.3 Unauthorized reproduction, distribution, republication, transmission or commercial exploitation of Platform content is prohibited and may result in civil and criminal proceedings.
26. USER GENERATED CONTENT
26.1 Customers may voluntarily submit reviews, stories, ratings, comments, feedback, photographs or other content on the Platforms.
26.2 Customers represent and warrant that:
- They own or possess necessary rights over such content;
- Such content does not violate any applicable law or third-party rights;
- Such content is accurate and not misleading.
26.3 By submitting content to the Platforms, Customers grant KARDIFY a perpetual, irrevocable, worldwide, royalty-free, non-exclusive licence to use, reproduce, display, publish, modify and distribute such content for lawful business purposes.
26.4 KARDIFY reserves the right to remove any content which it reasonably believes to be unlawful, abusive, misleading, defamatory or otherwise objectionable.
27. USER CONDUCT
Customers agree not to use the Platforms:
- For unlawful or fraudulent purposes;
- To transmit harmful, offensive, defamatory, obscene or misleading material;
- To infringe intellectual property rights;
- To upload malicious software, viruses or harmful code;
- To interfere with Platform security or functionality;
- To impersonate any person or entity;
- To collect personal information of other users without authorization;
- To send spam, unsolicited communications or advertisements;
- To engage in activities prejudicial to KARDIFY or other users.
KARDIFY reserves the right to suspend or terminate access where any such conduct is detected.
28. THIRD-PARTY LINKS AND SERVICES
28.1 The Platforms may contain links to third-party websites, marketplaces, social media pages, payment gateways or external resources.
28.2 Such third-party platforms are independent of KARDIFY and are governed by their own terms and privacy policies.
28.3 KARDIFY does not control, endorse or assume responsibility for:
- Content hosted by third parties;
- Third-party services or products;
- Availability or security of external websites;
- Transactions conducted directly with third parties.
Customers access third-party websites and services at their own risk.
29. THIRD-PARTY INSTALLERS AND SERVICE PROVIDERS
29.1 KARDIFY may suggest workshops, installers or service providers solely for customer convenience.
29.2 Such installers and service providers are independent third parties and not employees, agents or representatives of KARDIFY.
29.3 KARDIFY shall not be liable for:
- Workmanship defects;
- Installation errors;
- Delay in services;
- Damage caused during installation;
- Labour charges or disputes relating to third-party services.
Any disputes relating to such services shall be resolved directly with the concerned third party.
30. PRIVACY
30.1 Collection, storage, processing and use of personal information shall be governed by KARDIFY's Privacy Policy, which forms an integral part of these Terms.
30.2 By using the Platforms, Customers consent to the collection and processing of information in accordance with the Privacy Policy and applicable laws.
31. COMMUNICATIONS
31.1 By using the Platforms or placing Orders, Customers consent to receiving communications from KARDIFY through:
- Email;
- SMS;
- Telephone calls;
- WhatsApp;
- Push notifications;
- Other electronic means.
31.2 Such communications may include:
- Order confirmations;
- Shipping updates;
- Account notifications;
- Customer support responses;
- Promotional communications, subject to applicable laws.
31.3 Customers may opt out of marketing communications by following unsubscribe instructions or contacting KARDIFY.
32. REVIEWS, FEEDBACK AND SUGGESTIONS
32.1 Customers may voluntarily provide reviews, comments, ideas, feedback and suggestions relating to Products and Services.
32.2 Unless otherwise agreed in writing, KARDIFY may use such feedback without restriction or compensation and shall not be under any obligation to maintain confidentiality in relation thereto.
33. PLATFORM AVAILABILITY
33.1 KARDIFY shall endeavour to maintain uninterrupted availability of the Platforms. However, KARDIFY does not guarantee uninterrupted or error-free operation.
33.2 The Platforms may be temporarily unavailable due to:
- Maintenance;
- Technical failures;
- Server downtime;
- Cybersecurity incidents;
- Events beyond KARDIFY's reasonable control.
KARDIFY shall not be liable for any interruption, suspension or unavailability of the Platforms.
34. MODIFICATION OF PLATFORM CONTENT
KARDIFY reserves the right, without prior notice, to:
- Modify or discontinue Products or Services;
- Correct errors or omissions;
- Update content;
- Change specifications or prices;
- Restrict access to portions of the Platforms.
Such modifications shall not give rise to any liability on the part of KARDIFY.
35. DISCLAIMER OF WARRANTIES
35.1 The Platforms, Products, Services and all content made available by KARDIFY are provided on an "as is" and "as available" basis.
35.2 To the fullest extent permitted by applicable law, KARDIFY disclaims all warranties, representations and conditions, whether express or implied, including but not limited to:
- Merchantability;
- Fitness for a particular purpose;
- Non-infringement;
- Accuracy or completeness of content;
- Availability or uninterrupted operation of the Platforms.
35.3 KARDIFY does not warrant that:
- The Platforms will always be uninterrupted, secure or error-free;
- Products will meet every individual expectation of Customers;
- Compatibility will exist with every vehicle model or configuration;
- Product descriptions or specifications are entirely free from inadvertent errors.
35.4 Nothing contained in these Terms shall exclude any statutory rights available to Customers under applicable laws.
36. LIMITATION OF LIABILITY
36.1 To the maximum extent permitted under applicable law, KARDIFY, its directors, officers, employees, affiliates, agents and representatives shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages arising out of or relating to:
- Use of or inability to use the Platforms;
- Delay in delivery;
- Product incompatibility;
- Installation performed by third parties;
- Loss of profits, revenue, goodwill or business opportunities;
- Data loss or interruption;
- Errors or omissions in content;
- Acts or omissions of third parties.
36.2 Without prejudice to applicable law, KARDIFY's aggregate liability in relation to any claim arising from a Product or Service shall not exceed the amount actually paid by the Customer for the Product giving rise to such claim.
36.3 Nothing contained herein shall limit liability which cannot be excluded or restricted under applicable law.
37. INDEMNITY
Customers agree to indemnify, defend and hold harmless KARDIFY, its directors, officers, employees, affiliates and representatives from and against any claims, liabilities, losses, damages, costs and expenses, including reasonable legal fees, arising from:
- Violation of these Terms;
- Breach of applicable laws;
- Infringement of intellectual property rights;
- Misuse of Products;
- Negligence or wrongful conduct of the Customer;
- Submission of inaccurate or misleading information;
- Claims arising from installation or use of Products contrary to manufacturer instructions.
38. FORCE MAJEURE
KARDIFY shall not be liable for any delay, interruption or failure in performance resulting from circumstances beyond its reasonable control, including but not limited to:
- Natural disasters;
- Floods, earthquakes or fire;
- Pandemics or epidemics;
- Government actions or restrictions;
- War, terrorism or civil disturbances;
- Transportation disruptions;
- Power failures;
- Internet or communication failures;
- Labour strikes;
- Delays caused by suppliers or logistics partners;
- Any other force majeure event.
Performance of obligations shall stand suspended for the duration of such events.
39. SUSPENSION AND TERMINATION
39.1 KARDIFY reserves the right to suspend, restrict or terminate access to the Platforms, accounts or Services without prior notice where it reasonably believes that:
- These Terms have been violated;
- Fraudulent activity has occurred;
- There has been abuse of promotional offers or return policies;
- Customer conduct is harmful to KARDIFY or other users;
- Continued access may expose KARDIFY to legal or commercial risks.
39.2 Termination shall not affect rights and obligations accrued prior to such termination.
40. MODIFICATION OF TERMS
KARDIFY reserves the right to amend, revise or update these Terms at any time.
Updated Terms shall become effective upon publication on the Platforms unless otherwise specified.
Continued use of the Platforms after such modifications constitutes acceptance of the revised Terms.
41. ELECTRONIC COMMUNICATIONS
By using the Platforms, Customers consent to receiving communications through electronic means including email, SMS, WhatsApp and notifications.
Electronic communications shall satisfy any legal requirement that communications be in writing.
42. GOVERNING LAW AND JURISDICTION
These Terms, the Privacy Policy, Shipping Policy and Return, Exchange, Replacement, Refund and Cancellation Policy shall be governed by and construed in accordance with the laws of India.
Subject to applicable law, courts having jurisdiction at Bangalore, Karnataka shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or use of the Platforms.
43. GRIEVANCE OFFICER
In accordance with applicable laws, including the Consumer Protection (E-Commerce) Rules, 2020, Customers may contact the Grievance Officer for complaints and concerns relating to Products or Services.

KARDIFY shall endeavour to acknowledge and address grievances within timelines prescribed under applicable laws.
44. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
45. WAIVER
Failure by KARDIFY to enforce any provision of these Terms shall not constitute a waiver of such provision or any other rights available to KARDIFY.
46. ASSIGNMENT
Customers may not assign or transfer their rights or obligations under these Terms without prior written consent of KARDIFY.
KARDIFY may assign or transfer its rights and obligations under these Terms to any affiliate, successor or acquirer without restriction.
47. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Shipping Policy, Return, Exchange, Replacement, Refund and Cancellation Policy and any other policies published on the Platforms, constitute the entire agreement between KARDIFY and Customers and supersede all prior understandings and communications relating to the subject matter hereof.
